Effective Date: October 16, 2026

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and brinlul (“brinlul,” “we,” “us,” or “our”), a Professional-Broadcast-Production-Company operating in Canada.

By accessing or using the website located at brinlul.pro, contacting us, requesting a quote, booking services, or otherwise engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any additional policies referenced herein. If you do not agree to these Terms, you must not use our website or services.

You represent and warrant that you are of the age of majority in your province or territory of residence and have the legal capacity to enter into a binding contract. If you use our services on behalf of a business, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Scope of Services

brinlul provides professional broadcast production and related creative services, which may include, without limitation:

The exact scope, timelines, deliverables, staffing, and technical specifications for each project will be set out in a proposal, quote, statement of work, insertion order, or other written agreement issued by brinlul and accepted by the User.

We reserve the right to decline or discontinue services at our discretion where a project is unlawful, unsafe, technically unfeasible, contrary to our policies, or otherwise inappropriate for our operations.

3. User Obligations and Responsibilities

You agree to provide accurate, current, and complete information at all times. You are responsible for ensuring that any materials, instructions, approvals, or assets you provide to brinlul are lawful, accurate, and do not infringe the rights of any third party.

You further agree that you will:

You are solely responsible for the legality, accuracy, and appropriateness of the content and instructions you provide. brinlul is entitled to rely on your instructions unless otherwise agreed in writing.

4. Payment Terms and Conditions

Fees for services will be stated in the applicable proposal, quote, invoice, or statement of work. Unless otherwise agreed in writing, all fees are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes, including GST/HST, which will be added where required by law.

Unless otherwise specified in writing by brinlul, the following payment terms apply:

Payments must be made in the currency and by the method specified by brinlul. Bank charges, processing fees, chargeback fees, and collection costs may be charged to the User to the extent permitted by law.

If payment is disputed, the User must notify us promptly in writing, identify the specific disputed amount, and pay all undisputed amounts on time.

5. Cancellation and Refund Policy

Cancellations or rescheduling requests must be made in writing and are subject to the terms of the applicable project agreement and the following general principles unless a different written policy applies:

Because broadcast and production services often involve reserved crew, equipment, and production windows, availability is limited and cancellations may cause substantial losses. The parties may agree in writing to more specific cancellation fees, kill fees, or rescheduling terms for a given project.

Refunds, where applicable, will be processed using the original payment method where reasonably possible and within a reasonable time after approval.

6. Liability Limitations

To the fullest extent permitted by applicable Canadian law, brinlul, including its officers, directors, employees, contractors, agents, affiliates, and suppliers, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or reputational harm, arising out of or related to your use of our website or services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or related to the services or these Terms shall not exceed the amount actually paid by the User to brinlul for the specific services giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim, or such other amount as may be required by applicable law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or other liabilities that cannot lawfully be limited under Canadian law.

We are not responsible for delays, failures, or losses caused by inaccurate instructions, third-party systems, internet outages, platform failures, acts of third parties, or circumstances outside our reasonable control.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all pre-existing intellectual property, including methods, workflows, templates, software, know-how, tools, and materials used or developed by brinlul prior to or outside the scope of a specific engagement, remain the exclusive property of brinlul or its licensors.

Subject to full payment of all amounts due, and except for third-party materials or licensed elements, the final deliverables expressly identified in a signed project agreement may be assigned or licensed to the User as specified in that agreement. If no express transfer is stated, all rights not expressly granted are reserved by brinlul.

The User grants brinlul a non-exclusive, worldwide, royalty-free license to use any User-provided materials solely to the extent necessary to perform the services. The User represents that it has all necessary rights to grant this license.

Unless prohibited by a written agreement, brinlul may display non-confidential portions of completed work, project credits, or behind-the-scenes material in our portfolio, website, social media, awards submissions, and promotional materials for self-marketing purposes, provided such use does not disclose confidential information or personal information contrary to law.

Any third-party intellectual property included in the deliverables remains subject to the applicable third-party terms, licenses, or restrictions. The User is responsible for obtaining and maintaining any additional rights required for its intended use.

8. Data Protection and Privacy

If you provide personal information about third parties, you represent that you have the authority or lawful basis to do so.

9. Force Majeure

brinlul shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, epidemic, pandemic, labour disputes, war, terrorism, civil unrest, power failures, internet or telecommunications outages, governmental actions, equipment failures, supply shortages, transportation disruptions, or the unavailability of key personnel due to circumstances beyond reasonable control.

In the event of force majeure, the affected party will use commercially reasonable efforts to mitigate the impact and resume performance as soon as practicable. If the event continues for an extended period, either party may seek to reschedule or terminate the affected services on written notice, subject to payment for work completed and non-cancellable costs incurred.

10. Changes to Terms

brinlul may update or modify these Terms from time to time. Any changes will be effective upon posting on brinlul.pro or upon the date stated in a written notice, unless a different effective date is specified.

Your continued use of our website or services after the effective date of the revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the website and services.

For active projects, changes to these Terms will not materially alter pre-existing written project-specific agreements unless required by law or expressly agreed by both parties in writing.

You agree that the courts located in Toronto, Ontario, Canada shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or our services, subject to any mandatory rights or consumer protections that cannot be waived under applicable law. If any provision of these Terms is found to be invalid, illegal, unenforceable, or contrary to applicable law by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and, if necessary, severed from these Terms. The remaining provisions shall continue in full force and effect.

No waiver by brinlul of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default. These Terms, together with any applicable written proposal, quote, statement of work, invoice, or service agreement, constitute the entire agreement between the parties regarding the subject matter herein, unless expressly stated otherwise in writing.
